These Terms & Conditions (“Terms”) govern your relationship with AMPC and set forth the rights and obligations regarding the use of our services. 2. Services Provided
AMPC offers various affiliate marketing services, including but not limited to:
• Affiliate program strategy and management.
• Recruitment and management of affiliate partners.
• Performance tracking and reporting.
• Consulting and advisory on affiliate marketing best practices.
3. Engagement and Scope
The scope of services provided to the Client will be defined in the service agreement or contract (“Engagement Agreement”) between AMPC and the Client. Any changes to the scope of services must be agreed upon in writing.
4. Affiliate Partner Relationship
Clients are responsible for providing accurate information about their products or services for affiliates to promote. AMPC acts as an intermediary but does not assume liability for the actions or omissions of any affiliates in promoting the Client’s products or services.
5. Commissions and Payouts
• Commission Structure: Affiliate commissions will be determined by the Engagement Agreement between AMPC and the Client.
• Payouts: AMPC is responsible for ensuring timely payouts to affiliates, which will be based on agreed performance metrics (e.g., sales, leads, etc.). Clients agree to fund the commission payouts as outlined in the Engagement Agreement.
6. Client Obligations
Clients are responsible for the following:
• Providing AMPC with necessary access to tracking platforms, product or service details, marketing materials, and other relevant information.
• Maintaining the accuracy and completeness of information shared with AMPC.
• Funding all agreed commissions, fees, and expenses related to the affiliate program.
7. Affiliate Program Compliance
AMPC will work with affiliates to ensure they adhere to the relevant laws and regulations (e.g., FTC guidelines on disclosures). However, the Client is ultimately responsible for ensuring compliance with all applicable laws related to the promotion of their products or services.
8. Confidentiality
Both AMPC and the Client agree to maintain confidentiality concerning any proprietary information exchanged during the course of the engagement. This includes, but is not limited to, business strategies, financial data, and client lists.
9. Intellectual Property
The Client retains ownership of all intellectual property rights associated with their brand, product, or service. AMPC may use the Client’s intellectual property solely for the purpose of executing affiliate marketing campaigns under the terms of the Engagement Agreement.
10. Fees and Payment Terms
Fees for AMPC’s services will be outlined in the Engagement Agreement. Payments are due within [X] days of invoicing. Late payments may result in suspension of services until payment is received. All fees are non-refundable unless otherwise stated in the Engagement Agreement.
11. Limitation of Liability
